The Powered by TRON x RealOpen Holiday Campaign (“Campaign”) is not a sweepstakes or game of chance. Eligible participants shall be deemed eligible to receive Campaign Rewards on a first-come, first-served basis, subject to availability of Rewards Funds, Agent verification by RealOpen, and final approval by Tron Tech.

The aggregate Agent Rewards pool is a total of USDT 2,000. Rewards are gratuitous and participants acknowledge that any Reward provided is not compensation for services rendered. Use of RealOpen, USDT, or the TRON blockchain to purchase real property does not guarantee eligibility to receive any Reward, does not amount to consideration for the issuance of Rewards funds, and not create any duty of performance by RealOpen or Tron Tech Limited. Reward recipient bears sole responsibility for payment and reporting of any tax associated with issuance of Rewards funds. Campaign Participants acknowledge that the TRON public blockchain is an open-source, decentrally operated network, and that Campaign Sponsors do not exercise personal control over transactions occurring thereon.

By participating in the Campaign, you ( “You,” “Agent” or “Campaign Participant”) agree to the terms of these Official Campaign Rules.

Eligibility

To be eligible to participate in the Campaign or receive a Reward, You must not be an officer, director, member or employee of RealOpen, Tron Tech or any other party or entity associated with the development or administration of the Campaign, or an immediate family member of any of the foregoing, or a person living in the household of any of these individuals, whether or not related.

Agent Rewards - The TRON Real Estate Challenge

The Agent Challenge rewards the top real estate professionals who generate verified crypto real estate activity through RealOpen during the campaign.

Rewards recipient must submit to and pass the RealOpen KYC screen. Rewards fund shall be sent only to a KYC verified wallet linked to a U.S. exchange.

Agent Rewards - The TRON Real Estate Challenge

Eligibility: To be eligible for the Agent Rewards, an Agent must sign up with RealOpen and register a referral with RealOpen.

Agent Sign-Up: Agent must visit realopen.com/sign-up, verify their email (or sign up with Google or Apple), select “Agent”, and then add their contact details and target market areas.

Referral Registration Options: Agent referrals may be registered with RealOpen by successfully completing one of the processes below

1. Via the RealOpen Dashboard: Agent may log in at realopen.com/dashboard/agent and use the “Invite a Client” option. Once the client accepts the invite, the system will link that client to the Agent.

2. Via Email: Agent may email “ [email protected]” with the subject line “Buyer Registration” and include the client's name and email. The RealOpen team will manually create an invite and link the client to that Agent once the client accepts the invite.

3. Via the Ambassador Link: If the Agent is part of RealOpen's Ambassador Marketing Network (https://realopen.com/affiliates), any buyer who visits RealOpen through that Agent's unique referral link and successfully registers with RealOpen within 90 days of that visit is automatically registered to the Agent.

Agent Referral Verification & Conflicts: All referrals and invites are digitally timestamped and associated with the originating Agent's account for verification and audit purposes.

If multiple Agents attempt to register the same client, the first valid referral or client invite on record (based on timestamp) shall take precedence. Subsequent referral attempts are logged but not assigned unless the client explicitly requests reassignment.

Reward: The top (3) agents who earn the most Agent Rewards points shall be eligible to receive joint PR features drafted by Tron Tech. The (1) agent who earns the most Agent Rewards shall also receive USDT $2,000 (two thousand) on TRON and feature in TRON Storytelling video.

Reward Calculation: Referral-based

1. Registered referral (buyer signs up with RealOpen): 1 point.
2. Qualified lead (buyer provides wallet verification + property criteria): 3 points.
3. Closed transaction (buyer completes property purchase using USDT on TRON): 30 points.

Agent Reward Verification: RealOpen shall,

1. Confirm wallet verification and property criteria for referred buyers, and maintain timestamped referral records and share with TRON. All referrals must be registered in RealOpen's system with the referring agent identified prior to closing.
2. Include transaction proofs (USDT on TRON) for closed deals.

Reports to Tron Tech must include: Referral/lead lists with timestamps, verified buyer wallet addresses, proof of closings.

Tron Tech may review and confirm entries and reports before confirming winners or rewards.

Limitation of Liability: IN NO EVENT SHALL TRON TECH LIMITED OR REALOPEN GROUP INC. (OR THEIR RESPECTIVE AFFILIATES) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNATIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHER THEORY OF LIABILITY, REGARDLESS OF WHETHER THE PARTY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. IN NO EVENT SHALL SPONSORS' AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS CAMPAIGN EXCEED THE TOTAL AMOUNT OF FUNDS ACTUALLY PAID OR PAYABLE UNDER THESE CAMPAING RULES.

Governing Law: This Agreement is governed by the laws of the State of Delaware without regard to conflict of laws provisions. In the event of any dispute, controversy, alleged breach, or alleged anticipatory breach arising under or relating to this Agreement (a “Dispute”), You irrevocably waive the right to a trial by court regarding resolution of the Dispute. In the event of a Dispute, You agree to promptly notify Sponsors in writing regarding the Dispute (the “Dispute Notice”) and conduct discussions and negotiations to resolve the Dispute in good faith. Any resolution of such Dispute, which is mutually agreed to by the Parties shall be set forth in a writing signed by the Parties. If such Dispute cannot be satisfactorily resolved by the Parties within thirty (30) calendar days after issuance of the Dispute Notice, then such Dispute may then be referred to and finally resolved by arbitration administered by the American Arbitration Association (“AAA“) and in accordance with the Federal Arbitration Act, Title 9, United States Code, Section 1, et seq. and not in a class representative or consolidated action or proceeding. The seat of the arbitration shall be the State of Delaware. The language of the arbitration shall be English. The arbitrators shall have discretion to award reasonable costs and attorneys' fees to the prevailing Party. Judgment on the award may be entered in any court having jurisdiction. No failure to exercise and no delay in exercising, on the part of either Party, any right, power or privilege hereunder will operate as a waiver thereof, nor will any single or partial exercise of any right, power or privilege hereunder preclude further exercise of the same right or the exercise of any other right hereunder.
